Terms and Conditions

1) Acceptance

By creating an account or using YFO’s website/app (the “Platform”), you agree to these Terms and our Privacy Policy.

2) Nature of service

YFO is a technology platform/intermediary that enables wholesale buyers and sellers of shoes to discover, communicate, and express interest in deals.

YFO does not manufacture, own, or control user-listed goods, and is not a party to purchase/sale contracts between users.

Users are solely responsible for the information they provide, due diligence, negotiations, and resulting contracts.

3) Eligibility & accounts

You must be 18+ and legally capable of contracting.

Provide accurate information and keep credentials confidential. You are responsible for activity under your account.

4) Subscriptions & payments (sellers)

Sellers may purchase Monthly / Quarterly / Annual subscriptions. Fees are payable in advance and may auto-renew unless cancelled.

All prices are exclusive of applicable taxes. Invoices are provided electronically.

YFO may change plan features or pricing with reasonable prior notice.

5) Listings, content & conduct

You may post lawful listings, images, prices, MOQs, shipping/return terms, and business information you have rights to use.

You must not: misrepresent products or credentials; list counterfeit/illegal items; infringe IP; spam; scrape; attempt to bypass security; collect data without consent.

You represent that your listings comply with applicable laws (e.g., labeling, trademarks, import/export, tax).

6) Messaging & negotiations

The Platform may provide chat or contact tools. YFO may retain logs for safety and support. You are responsible for your communications and any agreements you enter.

7) Verification; no guarantees

YFO may conduct limited checks (e.g., document review) but does not certify users, inventory, quality, capacity, or solvency. Use your own due diligence.

8) Third-party services & payments

Subscription payments are processed by third-party gateways under their terms. YFO is not responsible for gateway outages or errors beyond our reasonable control.

9) Intellectual property

YFO owns the Platform and all related IP (software, UI, logos), except user-generated content, which remains the user’s property.

By posting content, you grant YFO a worldwide, non-exclusive, royalty-free license to host, display, and distribute it for Platform operation and promotion.

10) Takedowns & complaints

Report infringing, fake, or unlawful content to info@yoursfaktoryoutlet.com
with details. We may remove content or suspend accounts at our discretion.

11) Platform changes & availability

We may modify or discontinue features, impose limits, or suspend the Platform for maintenance or security reasons.

12) Disclaimer

THE PLATFORM IS PROVIDED “AS IS”. YFO DISCLAIMS ALL WARRANTIES (EXPRESS OR IMPLIED) INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. YFO DOES NOT WARRANT ACCURACY OF LISTINGS, AVAILABILITY, PRICING, OR PERFORMANCE OF USERS.

13) Limitation of liability

To the maximum extent permitted by law, YFO will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, goodwill, or business interruption. YFO’s aggregate liability for any claim will not exceed the fees you paid to YFO in the 3 months preceding the event.

14) Indemnity

You agree to indemnify and hold harmless YFO, its directors, employees, and affiliates from claims, losses, and costs arising out of: (a) your listings or content; (b) your breach of these Terms; (c) transactions you enter with other users; (d) violation of law or third-party rights.

15) Termination

We may suspend or terminate access for policy breaches, suspected fraud, chargebacks, or legal risk. You may cancel your subscription at any time (see Refund Policy). Certain provisions survive termination (e.g., liability limits, IP, indemnity).

16) Governing law; disputes

17) Communications

By using the Platform, you consent to receive service-related communications (emails/SMS). You may opt out of marketing at any time.

18) Changes to Terms
